Digital Radio sound quality is better than XM or Sirius, not quite as good as CD (often due to analog compression/limiting and other signal ruining done at the radio station).
There are far fewer channels available in any given area, though, and they are not generally commercial-free. Often they are just simulcasts of the FM channels.
The better your system and speakers, the better it will sound (as in any other audio source).
Worth it? That’s a personal decision. If you are replacing the radio anyway it might be worth the extra $; as an upgrade I don’t know. You probably want to find out what types of stations are available in your area and make a decision based on that. The HD radio site has a guide to stations in all regions (see link).
